By accessing or using Orqida ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to all the terms, you may not access or use the Service. These terms apply to all visitors, users, and others who access or use the Service.

We reserve the right to update or modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the revised terms. We will notify registered users of material changes via email or in-app notification.

2. Description of Services

Orqida provides a cloud-based Software-as-a-Service (SaaS) platform for managing and monitoring Microsoft Entra ID Cloud Sync operations. The Service includes multi-tenant dashboard access, synchronization monitoring, configuration management, and related administrative tools.

We may modify, suspend, or discontinue any aspect of the Service at any time, including availability of features, databases, or content. We may also impose limits on certain features or restrict your access to parts of the Service without notice or liability.

3. User Accounts

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Immediately notify us if you discover or suspect any security breaches related to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscriptions and Billing

Some features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the subscription fees indicated for that plan. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select.

Free trial periods, if offered, may be subject to additional terms. We reserve the right to modify pricing with reasonable advance notice to active subscribers.

5. Privacy and Data Protection

Your privacy is important to us. Our use and collection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We implement industry-standard security measures to protect your data.

6. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit viruses, malware, or other malicious code

8. Limitation of Liability

To the maximum extent permitted by applicable law, Orqida shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. Upon termination, we will make your data available for export for a reasonable period, after which it may be permanently deleted.

11. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
